Corporate Governance Committee
The corporate governance and nominations committee is responsible for reviewing the procedures in place for ensuring compliance with appropriate standards of corporate governance by the Company. It is also responsible for reviewing the size and composition of the Board and for reviewing candidates nominated as directors.
The corporate governance and nominations committee members are Jonathan Harris (Chair), John Zaozirny, Wesley Clark, and Robert Cross. Management representative is President & CEO, Abby Badwi.
Jonathan Harris holds a degree in Chemical Engineering and an MBA from the London Business School. He has over 20 years international experience in a senior management capacity with various companies and currently runs his own consulting business in London, UK. As well as being a director of a number of privately held companies he has served on the boards of Eastern Platinum Ltd and Hard Assets Inc.
John Zaozirny is Vice Chair of Canaccord Capital, a Governor of the Business Council of British Columbia, and a Director of a number of public and private companies. He served as Alberta's Minister of Energy and Natural Resources from 1982 to 1986 when he negotiated the end of the national energy program while also chairing the cabinet committee on economic development. He was also named Resource Man of the Year by the Alberta Chamber of Commerce.
Wesley K. Clark, General, US Army (ret.) served 38-years in uniform. Since returning to the private sector in 2004, he has resumed activities as CEO of Wesley K. Clark & Associates, a strategic advisory and consulting firm. He also serves on the boards of directors of several public and private companies. He is Chairman of Rodman and Renshaw, an investment bank based in New York and London. General Clark graduated first in his class from the United States Military Academy (B.S.) and completed degrees in Philosophy, Politics and Economics at Oxford University (B.A. and M.A.) as a Rhodes Scholar.
Robert Cross has more than 15 years of experience in the international resource equity markets. He was formerly CEO of Yorkton Securities Inc. and Partner - Investment Banking of Gordon Capital Corporation. Mr. Cross received his Engineering degree from the University of Waterloo, Ontario (1982) and an MBA from the Harvard Business School (1987).
